Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)           On July 25, 2007, Jing Rong Tang, a member of the Board of Directors of GSI Technology, Inc. (the “Company”), advised the Company of his decision to retire as a member of the Company’s Board of Directors effective as of the 2007 annual meeting of stockholders.  Mr. Tang has served as a member of the Board of Directors since May 1995.  Mr. Tang’s current term will expire on the date of the Company’s 2007 annual meeting of stockholders.  Mr. Tang’s decision to not stand for re-election is not the result of any disagreement with the Company, known to an executive officer of the Company, on any matter relating to the Company’s operations, policies or practices.  The Company and the Board thank Mr. Tang for his dedicated service and valued contributions to the Company.
